Den norske stat ved Nærings- og fiskeridepartementet lanserer salg av sine resterende 37 800 000 aksjer i SAS

Den norske stat ved Nærings- og fiskeridepartementet annonserer i dag en intensjon om å selge inntil 37 800 000 ordinære aksjer i SAS AB (publ) ("SAS"), tilsvarende omtrent 9,88 prosent av det totale antallet ordinære aksjer i SAS ("Transaksjonen").

Transaksjonen bekrefter tidligere kommunikasjon fra regjeringen om at den norske stat ikke er en langsiktig eier av SAS. Stortinget har fornyet fullmakten til å selge aksjer flere ganger, sist i nasjonalbudsjettet for 2018. Transaksjonen følger statens tidligere salg av aksjer i SAS og vil, dersom alle 37 800 000 aksjene selges, fullføre statens nedsalg av sin eierandel i SAS.

Den norske stats eierskap i SAS har kun vært forretningsmessig. Følgelig er det ikke forventet at selskapet vil gjøre strategiske eller operasjonelle endringer som følge av Transaksjonen.

Transaksjonen er strukturert som en "accelerated bookbuilding" mot institusjonelle investorer. Miminumsordre og allokering har blitt satt til det antallet aksjer som tilsvarer en samlet kjøpesum i svenske kroner tilsvarende 100 000 euro. Bokbyggingen starter umiddelbart etter publiseringen av denne meldingen. Prising og oppgjør i Transaksjonen vil bli gjennomført i svenske kroner med levering av aksjer registrert i det svenske Euroclear systemet som forventes å skjer på eller omkring 29. juni 2018

Den norske stat har engasjert Nordea, Pareto og UBS som tilretteleggere for Transaksjonen. Swedbank og Wiersholm har vært engasjert som henholdsvis uavhengig finansiell rådgiver og juridisk rådgiver for den norske stat.
